These Terms of Use govern your access to and use of cordiv.com (the “Site”), operated by Cordiv Media LLC (“Cordiv,” “we,” “us”). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.

These Terms govern this website only. They do not govern any commercial relationship between you and Cordiv. Purchases of inventory, publisher arrangements, and any other business dealings are governed exclusively by a separate written agreement between the parties. Where a separate agreement conflicts with these Terms, that agreement controls as to its subject matter. Cordiv also operates consumer-facing websites under separate brand names, each governed by its own terms.

1. Informational purpose only

The Site is provided for general informational purposes. Nothing on the Site constitutes an offer to sell or a solicitation to buy any product or service, and nothing on it creates any obligation on the part of Cordiv. Nothing on the Site is legal, financial, insurance, tax, or other professional advice, and you should not act on it without seeking advice appropriate to your circumstances.

2. Eligibility

The Site is intended for use by businesses and by individuals who are at least 18 years old and capable of forming a binding contract. By using the Site you represent that you meet these requirements and that, if you are using it on behalf of an organisation, you have authority to bind that organisation to these Terms.

3. Permitted use

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your internal business purposes. You may not:

Use automated means to access, scrape, crawl, index, or harvest the Site or its contents, except that operators of public search engines may index it consistent with our robots file
Copy, reproduce, republish, distribute, or create derivative works from the Site other than incidental copying in the ordinary course of viewing it
Attempt to gain unauthorised access to the Site, any related systems, or any account or data not intended for you
Interfere with or disrupt the Site, including by introducing malicious code or imposing an unreasonable load on our infrastructure
Use the Site to send unsolicited communications, or to collect contact details for that purpose
Remove, obscure, or alter any proprietary notice
Use the Site in violation of any applicable law or regulation, or for any unlawful or fraudulent purpose

4. Intellectual property

The Site and its contents — including text, design, layout, graphics, logos, and trade names — are owned by Cordiv or its licensors and are protected by intellectual property laws. The Cordiv name, the names of our consumer brands, and our logos are our trademarks. Nothing in these Terms grants you any right to use them without our prior written permission. All rights not expressly granted are reserved.

5. Submissions

If you send us feedback, suggestions, or other materials, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation or compensation to you. Please do not send us confidential information through the Site; we cannot treat unsolicited submissions as confidential.

6. Third-party links

The Site may contain links to websites we do not operate. We provide those links for convenience only. We do not endorse, and we are not responsible for, the content, products, services, or practices of any third-party site. Your dealings with third parties are solely between you and them.

7. Accuracy and availability

We aim to keep the Site accurate and available, but we make no commitment that it will be. Content may be incomplete, out of date, or contain errors. We may change, suspend, or discontinue any part of the Site at any time without notice, and we have no obligation to update any information on it.

8. Disclaimer of warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CORDIV DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CORDIV AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cordiv and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

11. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New York, without regard to its conflict of laws rules. You and Cordiv agree to the exclusive jurisdiction and venue of the state and federal courts located in the State of New York, and waive any objection to those courts on grounds of venue or inconvenient forum.

12. Informal resolution first

Before filing any claim, you agree to contact us at support@cordiv.com with a written description of the dispute and to attempt in good faith to resolve it informally for at least thirty (30) days.

13. General

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will stay in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them freely. These Terms, together with our Privacy Policy, are the entire agreement between you and Cordiv regarding the Site.

14. Changes

We may revise these Terms at any time by posting an updated version with a new “last updated” date. Changes take effect when posted. Your continued use of the Site after that means you accept the revised Terms.
